01. Scope of Agreement
This document constitutes the primary legal agreement between G2 Global Tech Solutions ("The Company") and the Subscriber. While specific policies (Privacy, Refund) exist separately, this Master T&C governs the core usage and licensing of the EMS platform.
02. Manual Payment System
EMS utilizes a Manual Payment & Renewal Model for maximum Subscriber autonomy. We do not utilize auto-debit mechanisms. It is the sole responsibility of the Subscriber to initiate renewal payments via official channels before the current plan expires.
03. Suspension & Expiry
Upon reaching the Due Date without a confirmed payment, the system will automatically suspend all services. This includes blocking Admin dashboards and Employee mobile access. The Company is not liable for business operational losses incurred during this period.
04. Hosting & Infrastructure
The platform is hosted on professional third-party managed infrastructure. While we aim for 99.9% uptime, the Company is not liable for interruptions caused by third-party provider maintenance, global DNS failures, or upstream data center incidents.
05. Software Ownership
This is a SaaS subscription license. Ownership of the source code, database architecture, and proprietary logic remains exclusively with G2 Global Tech Solutions. Any attempt to reverse-engineer or redistribute the platform is strictly prohibited.
06. Business Eligibility
Only legally registered business entities in India are eligible for the Subscriber account. We reserve the right to verify GSTIN/PAN details. Fraudulent registrations will be terminated without refund.
07. Credential Management
Subscribers maintain absolute responsibility for the security of Admin and Employee credentials. The Company is not liable for data leaks resulting from weak passwords or unauthorized credential sharing.
08. Personnel Protection
The Subscriber agrees not to recruit or hire any developer or staff member of G2 Global Tech Solutions during the active service period and for two (2) years following termination.
09. Financial Liability Cap
"THE MAXIMUM TOTAL LIABILITY OF THE COMPANY FOR ANY DISPUTE IS STRICTLY LIMITED TO THE TOTAL FEES PAID BY THE SUBSCRIBER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE INCIDENT."
10. "As-Is" Service
We do not provide warranties for specific business outcomes. The platform is provided "As-Is," and usage is at the Subscriber's own professional risk.
11. Modifications
The Company reserves the right to update features or modify the system UI to improve security and performance without prior individual consent.
12. Abuse & Misuse
Using the platform for illegal labor exploitation, data scraping, or malicious code injection will result in immediate permanent banning and legal reporting.
13. Termination Clean-up
Upon service termination, data will be held for 15 days for manual export. After 30 days of inactivity, all Subscriber data will be permanently deleted from the infrastructure.
14. Unforeseen Events
We are not liable for service failures caused by natural disasters, war, pandemics, or government-imposed internet shutdowns in India.
15. Legal Jurisdiction
This agreement is governed by the laws of India. All legal disputes fall exclusively under the jurisdiction of the courts in the city of the Service Provider's registration.
